Terms and Conditions for the Sale of Bravo Mobil and
Roaming Services
These Terms and Conditions ("Terms") are established between Klinkem OÜ, a limited company
incorporated in Estonia, with its registered office at Tatari 64, Tallinn 10134, Estonia, VAT No.
EE102101946 ("Affworld"), and its affiliate xxxxxxx, with registered office at xxxxx, xxxxxx,
xxxxxx, Reg. code xxxxxx, represented by board member xxxxxx ("Reseller").
"Reseller" or "Resellers", whether individuals or legal entities, have agreed to Affworld's General
Terms and Conditions ("General Terms") to promote Affworld's concept and associated products
and have accepted these Terms as an addendum.
1. Definitions
- 1.1. Terms: This document of Terms and Conditions.
- 1.2. General Terms: Affworld’s General Terms and Conditions, as updated periodically.
- 1.3. Party/Parties: Refers to Affworld or the Reseller, individually or collectively.
- 1.4. Reseller: A natural or legal entity promoting the Affworld concept and its different products
and cooperation under these Terms.
- 1.5. Affworld Affiliate Program: All Resellers collectively.
- 1.6. Bravo: Bravo Mobil AB, a licensed telecommunications operator in Sweden.
- 1.7. Services: Telecommunications services provided by Bravo, including SIM cards, eSIMs, and
SIP accounts.
- 1.8. Bank Day: Any day banks are open for business.
2. Purpose
- 2.1. These Terms establish the conditions under which Affworld and its Affworld Affiliate
Program facilitate the sale of Bravo’s Services.
3. Services
- 3.1. Service Scope
The Services covered include mobile SIM card credits, virtual SIM cards (eSIMs), and Session
Initiation Protocol (SIP) accounts provided by Bravo.
4. Sales Method

4.1. Commission-Based Sales
Sales under these Terms are commission-based. Bravo acts as the principal, and Affworld
operates as a commission agent, selling Services to End-Users via its Resellers.

4.2. Revenue Recording
All Service sales will be recorded as revenue for Bravo. Resellers, acting as sub-agents, record
commission fees as revenue in their respective financial statements.

4.3. VAT Application
VAT does not apply to Service sales. However, VAT may be applicable on commission fees.
5. Responsibilities of Affworld

5.1. Sales Agent Role
Affworld acts as Bravo's Sales Agent and may utilize its Affworld Affiliate Program. Affworld
retains all contractual obligations under its agreement with Bravo.

5.2. Reporting
Affworld will provide monthly reports to Resellers detailing commission fees.
6. Responsibilities of Resellers
- 6.1. General Duties
- 6.1.1. Sales and Marketing: Promote and sell Bravo’s Services.
- 6.1.2. Merchant Agreement: Establish agreements for processing payments.
- 6.1.3. Bank Accounts: Maintain a dedicated bank account for sales, with daily transfers to Bravo.
- 6.1.4. Compliance: Adhere to Bravo and Affworld policies.
- 6.1.5. Fraud Prevention: Fraudulent activities result in commission forfeiture and deductions
from future settlements.
- 6.2. Onboarding
Resellers must:
- 6.2.1. Submit applications, including KYC documentation.
- 6.2.2. Undergo assessments by Affworld and approval by Bravo.
- 6.2.3. Complete mandatory training and certification programs.
- 6.3. Technical and Operational Setup
- 6.3.1. System Integration: Ensure seamless integration with Bravo’s platforms.
- 6.3.2. Testing: Complete a verification phase to ensure compliance.
- 6.4. Monitoring and Support
Bravo will provide ongoing performance monitoring, audits, and necessary support.
7. Payment and Commission
- 7.1. Commission Calculation
Resellers invoice automatically through the Affworld system for their monthly share of the total
commission paid by Bravo.
- 7.2. Payment Terms
Payments are processed within 30 days of receiving the invoice.
8. Offboarding
- 8.1. Termination Process
Either party may terminate with notice. Upon termination, Resellers must:
- 8.1.1. Cease all promotional activities.
- 8.1.2. Return all materials and confidential information.
- 8.2. Audit Rights
Bravo reserves the right to audit the accounts and operations of Resellers.
9. Restricted Activities
- 9.1. Resellers are prohibited from:
- 9.1.1. Misrepresenting Bravo’s Services.
- 9.1.2. Creating false accounts or transactions.
- 9.1.3. Manipulating sales data.
10. Conflict Resolution
- 10.1. Mediation and Arbitration: Disputes will first be mediated. If unresolved, binding
arbitration in Estonia, Tallinn, will follow.
- 10.2. Governing Law: These Terms are governed by Estonian law.
11. Confidentiality
Both Parties agree to maintain the confidentiality of proprietary information, even post-
termination.
12. Data Protection
- 12.1. Parties will adhere to data protection laws and implement necessary security measures.
- 12.2. Policies will be reviewed regularly to ensure compliance.
13. Amendments and Force Majeure
- 13.1. Amendments: Affworld may modify these Terms with prior notice.
- 13.2. Force Majeure: Neither party is liable for delays caused by events beyond their control.
